TERMS OF SERVICE

Silverstone Capital LLC

Last Updated: September 14, 2026

PLEASE READ THESE TERMS CAREFULLY. SECTION 10 CONTAINS A BINDING INDIVIDUAL ARBITRATION PROVISION, A WAIVER OF YOUR RIGHT TO A JURY TRIAL, AND A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. SECTION 11 SHORTENS THE TIME IN WHICH YOU MAY BRING A CLAIM AGAINST US. YOU MAY OPT OUT OF THE ARBITRATION PROVISION WITHIN THIRTY (30) DAYS AS DESCRIBED IN SECTION 10.9.

1. ACCEPTANCE OF THESE TERMS

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Silverstone Capital LLC, an Illinois limited liability company, together with its subsidiaries, affiliates, and trade names including Virginia Home Buyers and Silverstone Properties ("Company," "we," "us," or "our").

These Terms govern your use of the following websites and any other website, landing page, or online property that links to these Terms (collectively, the "Website"), and any services offered through them (the "Services"):

https://offer.virginiahomebuyers.org/

https://sell.silverstoneproperties.org/

By checking the consent box on any form on the Website, submitting any form, creating an account, calling or texting us, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Website or Services.

2. WHO WE ARE — IMPORTANT DISCLOSURES

2.1 We are a real estate investment company acting for our own account. The Company is a principal — a contract buyer purchasing for its own account and for its own profit. We are not acting as your real estate agent or broker, we do not represent you, and we owe you no fiduciary duty, no duty of loyalty, and no agency obligation of any kind. Any licensed real estate professional involved in a transaction with us represents the Company's interests or their own, not yours, unless you separately engage your own representation in writing.

2.2 We buy for profit, and our profit may be substantial. The Company enters into contracts with the intention of reselling, assigning, novating, or otherwise profiting from the transaction. Any offer we make may be, and frequently is, below the retail fair market value of your property. The amount we ultimately receive may significantly exceed the amount you receive. You acknowledge that the Company's profit is not a fee charged to you, is not compensation for services rendered to you, and is not a commission.

2.3 How our transactions are structured. The Company uses two primary transaction structures. Which structure applies to your property will be identified in the written agreement you sign, and you should read that agreement carefully.

(a) Assignment / Wholesale. We enter into a purchase agreement with you and may assign our rights under that agreement to a third-party buyer, or close on the property ourselves and resell it. We market our contractual interest — not your property — and we retain the right to assign that contract at a price higher than the price we agreed to pay you, keeping the difference. You will be informed in writing of our intent to assign, and the assignment will be documented before closing.

(b) Novation. Under a novation structure, you remain the owner of record and remain on title until closing. The Company, directly or through a licensed real estate professional, will market your property to the general public — which may include listing it on the Multiple Listing Service (MLS), public listing portals, and other advertising channels — in order to locate an end buyer. When an end buyer is found, the original purchase agreement between you and the Company is replaced by a new agreement between you and that end buyer, and the Company is compensated out of the difference between the price you agreed to accept and the final sale price.

2.4 NOVATION — SPECIFIC RISKS YOU MUST UNDERSTAND. If your transaction is structured as a novation, you specifically acknowledge and agree that:

1.You remain the owner and remain on title until the transaction closes, and you remain responsible for all mortgage payments, property taxes, insurance, utilities, maintenance, HOA dues, code compliance, and all other carrying costs and liabilities of ownership during the entire marketing and closing period.

2.Closing is contingent on locating an end buyer. The Company does not guarantee that an end buyer will be found, that the property will sell, or that the transaction will close.

3.The transaction may take substantially longer than a cash sale, and the marketing period may last weeks or months.

4. Your property will be publicly marketed and may be publicly listed, and information about your property, including photographs and interior condition, may be made publicly available.

5. The transaction may fail, in which case the property remains yours and you will have forgone other opportunities to sell during the marketing period.

6. The final sale price may be materially higher than the amount you receive. The difference is the Company's compensation. You are entitled to receive, and will receive, the amount stated in your written agreement regardless of the final sale price, unless your agreement expressly provides otherwise.

7. You may cancel or terminate only as expressly provided in your written agreement. The terms of that agreement, not this Section, govern your rights.

2.5 Licensing. Real estate licensing requirements applicable to contract assignment, novation, and related transactions vary by state and change from time to time. The Company conducts its transactions in a manner intended to comply with the licensing laws of the state in which each property is located, including by holding a license, working with a licensed real estate professional or brokerage, or structuring transactions as permitted by applicable law. The Company's licensing status in the state where your property is located will be disclosed to you in writing upon request.

2.6 No dual role. Where a licensed real estate professional is involved in a transaction with the Company, that professional's agency relationship and compensation will be disclosed in writing as required by applicable law. The Company does not act as a dual agent and does not act as your designated agent.

2.7 We are not providing professional advice.
Nothing on the Website or communicated by the Company constitutes legal, tax, accounting, financial, appraisal, title, inspection, or investment advice. You are strongly encouraged to obtain an independent appraisal or broker price opinion, and to consult your own attorney, tax advisor, and/or a licensed real estate professional of your own choosing, before entering into any transaction with us. You acknowledge that you have had a full and fair opportunity to do so and that the Company has not discouraged you from doing so.

2.8 No offer or obligation. Use of the Website, submission of a form, or receipt of a preliminary or estimated offer does not create a contract or obligate either party to buy or sell. No agreement exists unless and until a written purchase agreement is executed by both parties. Any figure communicated before execution of a written purchase agreement is a non-binding estimate only, is subject to inspection, title review, and due diligence, and may be withdrawn or revised at any time for any reason.

2.9 Independent judgment. You represent that you are entering into any transaction with the Company voluntarily, based on your own independent judgment and investigation, and not in reliance on any statement, representation, projection, or valuation made by the Company except as expressly set forth in a signed written purchase agreement.

3. ELIGIBILITY

You must be at least eighteen (18) years of age and the age of majority in your state of residence to use the Website or Services. By using the Website, you represent and warrant that you meet these requirements and that you have the legal authority to enter into these Terms and, where applicable, to convey or contract regarding the property about which you inquire.

4. CONSENT TO BE CONTACTED AND TO RECORDING

4.1 By providing your telephone number and checking the consent box on any form on the Website, you provide your prior express written consent for the Company and its agents and service providers to contact you at that number by telephone call, text message, and email, including by means of an automatic telephone dialing system, artificial or prerecorded voice, and AI-assisted voice technology, for marketing, informational, and transactional purposes. Your consent is not a condition of any purchase, sale, or transaction. Message and data rates may apply; message frequency varies. Reply STOP to opt out of texts and HELP for help.

4.2 You consent to the recording, monitoring, transcription, storage, and analysis of all telephone calls and other communications between you and the Company, in all jurisdictions, including states requiring the consent of all parties. See Section 3 of our Privacy Policy for details. If you do not consent to recording, do not call, accept calls from, or submit a form to the Company.

4.3 You may withdraw consent at any time as described in our Privacy Policy. Withdrawal of consent does not affect the lawfulness of communications made before withdrawal, and does not apply to communications relating to an active transaction or existing obligation.

5. YOUR SUBMISSIONS AND REPRESENTATIONS

By submitting information to the Company, you represent and warrant that:

-All information you provide is true, accurate, current, and complete;

-The telephone number you provide belongs to you, is not assigned to another person, and you are the regular user and customary carrier of that number, and you will -notify us promptly if you cease to be the subscriber or user of that number;

-You are the owner of the property about which you inquire, or are authorized to act on the owner's behalf; and

-You have not been directed, induced, or compensated by any third party to submit information to the Company.

-You grant the Company a non-exclusive, royalty-free license to use, reproduce, and display any photographs, videos, descriptions, documents, or other content you -submit to us in connection with evaluating, marketing, assigning, or completing a transaction relating to the property.

6. ACCEPTABLE USE

You agree not to: use the Website for any unlawful purpose; submit false, fraudulent, or another person's information; use any automated means to access, scrape, or harvest data from the Website; attempt to gain unauthorized access to any portion of the Website or our systems; interfere with the operation of the Website; reverse engineer any portion of the Website; or use the Website to solicit the Company's users or customers.

You further agree not to submit information to the Website for the purpose of manufacturing, generating, soliciting, or facilitating any claim against the Company, including any claim under the Telephone Consumer Protection Act or any state analogue. Submission of information by or on behalf of a person who does not have a genuine interest in the Services is a material breach of these Terms and voids any consent-based claim arising from it.

7. INTELLECTUAL PROPERTY

The Website and all content, trademarks, service marks, logos, text, graphics, and software on it are owned by or licensed to the Company and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any portion of the Website without our prior written consent.

8. DISCLAIMER OF WARRANTIES

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY VALUATION, ESTIMATE, OR OFFER IS ACCURATE, OR THAT ANY INFORMATION ON THE WEBSITE IS COMPLETE OR CURRENT.

9. LIMITATION OF LIABILITY AND INDEMNIFICATION

9.1 Limitation. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE WEBSITE, THE SERVICES, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Cap. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THE WEBSITE, THE SERVICES, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00
). This limitation does not apply to obligations under an executed written purchase agreement, which are governed by that agreement.

9.3 Indemnification. You agree to indemnify, defend, and hold harmless the Company and its members, managers, officers, employees, contractors, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your submission of false, inaccurate, or unauthorized information, including a telephone number you are not authorized to provide; (c) your violation of any law or the rights of a third party; or (d) your use of the Website or Services.

10. BINDING INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER

10.1 Agreement to arbitrate.
You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Website, the Services, any communication between you and the Company (including any telephone call, text message, or email), or the relationship between you and the Company — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before, during, or after the termination of these Terms — shall be resolved exclusively by final and binding individual arbitration, and not in a court of law. This includes any claim under the Telephone Consumer Protection Act, any state telemarketing or Do-Not-Call statute, any wiretapping, eavesdropping, or communications-privacy statute, and any consumer protection or unfair trade practices statute.

This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

10.2 Informal resolution first. Before initiating arbitration, the party raising a claim must send a written Notice of Dispute to the other party describing the claim and the relief sought. Notice to the Company must be sent to: Silverstone Capital LLC, Attn: Legal – Notice of Dispute, 1 W Old State Capitol Plz, Ste 805, Springfield, IL 62701, and to info@silverstoneproperties.org. Notice to you will be sent to the contact information you provided.

The parties shall attempt in good faith to resolve the dispute for ninety (90) calendar days after the Notice of Dispute is received. During this period, either party may request a telephone or videoconference settlement conference, and the other party shall participate in good faith. Arbitration may not be initiated until this period expires. This requirement is a condition precedent to arbitration and to any right to commence any proceeding, and may be enforced by a court, including by an order staying or dismissing any prematurely filed proceeding. The applicable statute of limitations and the limitations period in Section 11 are tolled from the date the Notice of Dispute is received until the expiration of this period, so that neither party is prejudiced by the delay.

10.3 Arbitration forum and rules.
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. If the AAA is unavailable or declines to administer, the parties shall agree on an alternative administrator, and if they cannot agree, a court of competent jurisdiction shall appoint one. Arbitration shall be conducted by a single arbitrator.

10.4 Location and format. Arbitration shall be conducted by document submission, telephone, or videoconference unless the arbitrator determines an in-person hearing is necessary. Any in-person hearing shall take place in the federal judicial district in which you reside, or another mutually agreed location.

10.5 CLASS ACTION WAIVER. YOU AND THE COMPANY EACH AGREE THAT ANY CLAIM MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON, MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING, AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO REDRESS THAT PARTY'S INDIVIDUAL CLAIM.

If this class action waiver is found to be unenforceable as to any claim or request for relief, then that claim or request for relief shall be severed from the arbitration and litigated in court, and all other claims shall remain in individual arbitration. In no event shall any class, collective, or representative claim be arbitrated.

10.6 JURY TRIAL WAIVER. YOU AND THE COMPANY EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE RELATIONSHIP BETWEEN THE PARTIES.

10.7 Coordinated and mass filings — batching protocol.
If twenty-five (25) or more demands for arbitration raising substantially similar claims are filed against the Company by or with the assistance of the same law firm or coordinated group of counsel within a one hundred eighty (180) day period, the parties agree that such demands shall be administered in staged batches of no more than fifty (50) demands at a time. The Company's obligation to pay any administrative or arbitrator fees shall be limited to the batch then being administered. The parties shall select one arbitrator per batch, and the arbitrator may issue a single set of rulings on common threshold issues (such as consent, standing, and arbitrability) applicable to that batch. No further batch shall be initiated until the preceding batch has concluded. The applicable statute of limitations shall be tolled for all demands in unstarted batches. Either party may seek an order from a court of competent jurisdiction enforcing this provision.

10.8 Fees. Payment of administrative and arbitrator fees shall be governed by the AAA's Consumer Arbitration Rules. Each party shall bear its own attorneys' fees except as provided in this Section or where a statute or the arbitrator's award provides otherwise.

Frivolous and bad faith claims. If the arbitrator (or a court, in any proceeding not subject to arbitration) determines that any claim, counterclaim, defense, or request for relief was frivolous, brought or maintained in bad faith, asserted for the purpose of harassment or delay, or brought for any improper purpose, or that a party knowingly asserted a material factual contention without evidentiary support, that party shall be liable for the reasonable attorneys' fees, expert fees, administrative fees, arbitrator compensation, and costs incurred by the other party in responding to it. This standard is the standard set forth in Federal Rule of Civil Procedure 11(b) and applies equally and reciprocally to both parties.

Rejected settlement offers. If a party rejects a written settlement offer and the final award obtained by that party is not more favorable than the rejected offer, the arbitrator
may, in the arbitrator's discretion, require that party to bear the fees and costs incurred by the other party after the date the offer was rejected, to the extent permitted by applicable law.

Misrepresented consent
. If a party is found to have provided a telephone number they were not authorized to provide, or to have submitted false information to the Company in violation of Section 5, that party shall be liable for the Company's reasonable attorneys' fees and costs incurred in connection with any claim arising from that conduct.

10.9 YOUR RIGHT TO OPT OUT. You may opt out of this arbitration agreement and class action waiver by sending written notice within thirty (30) days of the date you first accept these Terms. Notice must include your full name, mailing address, the email address and telephone number you provided to us, and a clear statement that you wish to opt out of the arbitration agreement. Send it to: Silverstone Capital LLC, Attn: Arbitration Opt-Out, 1 W Old State Capitol Plz, Ste 805, Springfield, IL 62701, or by email to info@silverstoneproperties.org with the subject line "Arbitration Opt-Out." Opting out will not affect any other provision of these Terms or your use of the Services. If you do not opt out within thirty (30) days, you agree to be bound by this arbitration agreement.

10.10 Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property rights or to prevent unauthorized access to the Website. Nothing in this Section prevents you from reporting a concern to a government agency.

10.11 Survival and severability
. This Section 10 survives termination of these Terms and your relationship with the Company. If any portion of this Section other than the class action waiver is found unenforceable, that portion shall be severed and the remainder enforced.

11. TIME LIMITATION ON CLAIMS

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE PRIVACY POLICY, THE WEBSITE, THE SERVICES, OR ANY COMMUNICATION BETWEEN YOU AND THE COMPANY MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES. ANY CLAIM NOT BROUGHT WITHIN THAT PERIOD IS PERMANENTLY BARRED.

12. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of them are governed by the laws of the State of Illinois, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs Section 10. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Sangamon County, Illinois, and you consent to the personal jurisdiction of and venue in those courts and waive any objection based on inconvenient forum. This provision does not apply to any claim brought in small claims court as permitted by Section 10.10.

This Section does not apply to disputes arising under an executed written purchase agreement for real property, which are governed by the choice of law and venue provisions in that agreement.

13. MODIFICATIONS

We may modify these Terms at any time. Non-material changes take effect upon posting. Material changes take effect no earlier than thirty (30) days after posting, and we will update the "Last Updated" date. Your continued use of the Website after the effective date constitutes acceptance. Changes to Section 10 (Arbitration) will not apply to any dispute for which a Notice of Dispute was submitted before the change took effect.

14. GENERAL

14.1 Entire agreement.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Website and Services, and supersede all prior understandings. They do not supersede any executed written purchase agreement.

14.2 Severability
. If any provision is held invalid or unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.

14.3 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

14.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

14.5 Electronic communications and signatures. You consent to receive communications from us electronically, and agree that electronic agreements, notices, disclosures, and records satisfy any legal requirement that such communications be in writing. You agree that checking a consent box, clicking a button, or submitting a form constitutes your electronic signature under the E-SIGN Act and applicable state law.

14.6 Force majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
